§ II — Our Story

How Birchcrest Came to Be

Birchcrest was established in Singapore by a small group of operational advisers who had spent the better part of their careers inside integration teams — not advising them from the outside. The experience left a lasting impression: most of the difficulty in a combination is not in the financial model or the legal structure, but in the practical operational decisions that have to be made under time pressure, with incomplete information, and by people who are also managing a day job.

When we set up Birchcrest, the intent was to offer something specific and contained rather than broad advisory mandates. We focus on three things: helping teams understand what they are walking into operationally before a combination closes, preparing for the first day of combined operations, and being a quiet and considered sounding board during the weeks and months that follow.

The name refers to steadiness and quiet durability — qualities we try to bring to the work itself.

Our Approach

We are not a large practice and we do not try to be. Our preference is for engagements where we can be genuinely useful rather than broadly present. That means the people you speak with at the outset are the people doing the work.

We work in English with organisations across Singapore and the broader South-East Asian region, and we are comfortable with the pace and informational environment of transactions at various sizes — from owner-managed business combinations through to more structured mid-market deals.

Our fees are straightforward, quoted in Singapore dollars, and agreed before any engagement begins. We think that transparency about scope and cost is part of the service, not a negotiation to be managed separately.

All client information is treated as strictly confidential by default. We do not discuss, reference or repurpose client work in any form. NDAs are signed on request, before any substantive conversation.

Defined Scope

We agree on the exact scope, deliverables and fee before any work begins. There are no open-ended mandates and no arrangements where the scope is likely to shift without discussion.

Written Outputs

Every engagement results in a written record — summaries, notes or structured lists — that can circulate internally and be consulted after the engagement has concluded.

Complementary Role

We position our work as support for existing integration leads, not as a replacement for internal capability. Our input is most useful when a team is already in place and wants external perspective.

Considered Advice

We do not offer opinions without basis or recommendations without context. Our preference is for the measured view over the quick answer, particularly on decisions with lasting consequences.

§ V — Operational Integration in Context

The Operational Side of M&A is Often the Hardest Part

Most commentary on mergers and acquisitions focuses on valuation, deal structure and legal execution. Far less attention is given to the period immediately following completion, when two organisations must actually function as one. It is during this period — the first weeks and months after closing — that operational decisions carry the greatest weight and are made under the greatest pressure.

The questions that arise are practical rather than strategic: which systems will employees use on Monday morning, how will customers be told about the change, who has authority to sign supplier agreements, and what happens if the two organisations have different processes for the same function. These are not abstract concerns. They are the decisions that determine whether a combination is experienced as smooth or disruptive by the people inside it and by the customers and suppliers around it.

Birchcrest was built specifically to support the team members responsible for answering these questions. Our services address the pre-close preparation period, the day of combination itself and the ongoing operational decisions that follow. We work in Singapore and across South-East Asia, with organisations of various sizes and in various sectors, wherever the operational complexity of a combination creates a need for structured outside input.
